1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of Snapshot, including our website, APIs, platform, monitoring services, automation features, reporting tools, and any related services provided by Mindiq Global Solutions ("Mindiq Global Solutions", "Snapshot", "we", "us", or "our"). By accessing or using Snapshot, creating an account, using our APIs or otherwise using our services, you agree to be bound by these Terms and all applicable laws and regulations. If you use Snapshot on behalf of a company, organization or other legal entity, you represent and warrant that you have the authority to accept these Terms on behalf of that entity.

2. Description of the Services

Snapshot is a developer-focused Monitoring & Automation Platform that provides tools and APIs for website screenshot capture, scheduled screenshots, website and availability monitoring, visual and content change detection, reporting, usage tracking, API key management, wallet and credit management, and related automation workflows. We may modify, improve, add, remove, suspend or discontinue features or services at any time. Some features may be subject to additional requirements, usage limits, documentation or service-specific terms.

3. Account Registration and Security

Certain features of Snapshot require you to create and maintain an account. When creating an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality and security of your account credentials, passwords, API keys, access tokens and any other authentication information associated with your account. You are responsible for all activities performed through your account and credentials. You must promptly notify us at contact@mindiqglobal.com . if you become aware of any unauthorized access to or use of your account, API keys or other credentials. We may suspend, restrict or terminate access to an account if we reasonably believe that the account or its credentials have been compromised or are being used in violation of these Terms.

4. API Access and License

Subject to your compliance with these Terms, Mindiq Global Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use Snapshot and its APIs for lawful purposes and in accordance with the applicable documentation and usage limits. You may use Snapshot APIs and services only for purposes permitted by these Terms and applicable law. Except for the limited rights expressly granted to you, no ownership rights or intellectual property rights are transferred to you. We reserve all rights not expressly granted under these Terms.

5. API Keys and Credentials

API keys and other credentials issued through Snapshot are intended solely for authorized use by the account to which they are assigned. You remain responsible for all API requests and activity performed using credentials associated with your account unless applicable law requires otherwise. Snapshot may suspend, revoke, rotate or restrict credentials where reasonably necessary to protect the security, integrity or availability of the platform. You must:

  • Keep your API keys and credentials confidential.
  • Not publicly expose or publish API keys.
  • Not share credentials with unauthorized third parties.
  • Use reasonable security measures to protect your credentials.
  • Promptly rotate or revoke compromised credentials.

6. Acceptable Use

You agree to use Snapshot responsibly and in compliance with all applicable laws, regulations and third-party rights. You are solely responsible for ensuring that the URLs, websites, content, data and systems you submit to Snapshot may lawfully be accessed, monitored, captured or processed using our services. We may investigate suspected misuse and may suspend or terminate access where we reasonably believe these Terms have been violated. You must not use Snapshot to:

  • Violate any applicable law or regulation.
  • Access, capture, monitor or collect information unlawfully.
  • Infringe or violate the privacy, intellectual property or other rights of any person or organization.
  • Gain unauthorized access to systems, networks, accounts or services.
  • Facilitate fraud, deception, phishing, impersonation or other illegal activity.
  • Distribute malware, ransomware, spyware, viruses or other malicious code.
  • Interfere with disrupt, damage or attempt to bypass the security or operation of Snapshot.
  • Circumvent technical restrictions, rate limits, access controls or security mechanisms.
  • Use the service in a manner that could create excessive load, abuse or instability.
  • Resell or provide unauthorized access to Snapshot services unless expressly permitted by us.
  • Use automated systems in a manner intended to damage or interfere with Snapshot infrastructure.
  • Use Snapshot to capture, process or distribute content where doing so would be unlawful or violate applicable rights.

7. Usage, API Credits and Wallet

Certain Snapshot services operate using API credits, wallet balances, or other usage-based mechanisms. New accounts may receive promotional or free credits. Unless otherwise stated, promotional or free credits may be subject to limitations, expiration, eligibility requirements or other conditions communicated through the platform. Paid credits or other purchased usage capacity may be subject to the pricing and usage terms displayed at the time of purchase. API requests and other platform operations may consume credits according to the applicable pricing, documentation or usage rules. You are responsible for monitoring your usage and available balance. Snapshot may reject, delay, throttle or otherwise limit requests when:

  • Your available credits or wallet balance are insufficient.
  • Applicable usage limits have been reached.
  • We detect abusive, excessive, suspicious or technically harmful activity.
  • Limiting the requests is necessary to protect the platform or other users.

8. Payments and Pricing

Pricing for Snapshot services may be displayed on our website, application or other authorized pricing pages. You agree to pay all applicable charges associated with your use of paid services. We may update our pricing, credit packages, features, usage rules or payment terms from time to time. Changes will generally apply prospectively unless otherwise required or permitted by applicable law. You are responsible for providing accurate billing and payment information where required. Failure to complete payment for applicable services may result in restricted access, suspension or termination of paid features.

9. Your Data and Content

You retain ownership of the information, URLs, parameters, configurations, content and other data that you submit to Snapshot, subject to the rights necessary for us to operate and provide the services. By using Snapshot, you grant Mindiq Global Solutions a limited, non-exclusive right to process your submitted data solely as reasonably necessary to:

  • Provide and operate the services.
  • Process API requests.
  • Generate requested screenshots, reports, monitoring results and other outputs.
  • Maintain platform security and reliability.
  • Detect abuse, fraud or misuse.
  • Comply with applicable legal obligations.

10. Intellectual Property

Snapshot, including its software, APIs, platform, documentation, designs, trademarks, logos, branding, technology, and other proprietary materials, is owned by or licensed to Mindiq Global Solutions and is protected by applicable intellectual property laws. These Terms do not grant you ownership of any intellectual property rights in Snapshot. You may not copy, reproduce, modify, distribute, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of Snapshot except where such restriction is prohibited by applicable law. All trademarks, service marks, logos and other third-party materials remain the property of their respective owners.

11. Service Availability and Changes

We aim to provide a reliable and scalable platform. However, Snapshot may occasionally be unavailable, delayed, interrupted or degraded due to maintenance, infrastructure issues, software updates, third-party service failures, network problems, security incidents or events beyond our reasonable control. We may perform maintenance, updates or modifications that temporarily affect service availability.

12. Third-Party Websites and Services

We do not control and are not responsible for the availability, security, content, privacy practices or policies of third-party services. Your use of third-party websites or services is subject to the applicable third-party terms and policies. You are responsible for ensuring that your use of Snapshot to access or monitor third-party websites is lawful and authorized.

13. Disclaimer of Warranties

Snapshot and its services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Mindiq Global Solutions disclaims all warranties, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and uninterrupted operation. You use Snapshot and rely on its outputs at your own discretion and risk.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Mindiq Global Solutions, its affiliates, directors, officers, employees, partners and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data or business interruption arising from or related to your use of or inability to use Snapshot. To the maximum extent permitted by applicable law, the total aggregate liability of Mindiq Global Solutions arising from or relating to Snapshot or these Terms shall not exceed the amount paid by you to Mindiq Global Solutions for the applicable Snapshot services during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Mindiq Global Solutions and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses arising from or relating to:

  • Your use of Snapshot.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your violation of the rights of a third party.
  • Any content, URLs, data, or systems submitted or accessed by you through Snapshot.
  • Unauthorized or improper use of your account or API credentials.

16. Suspension and Termination

You may stop using Snapshot at any time. We may suspend, restrict or terminate your access to Snapshot, your account or specific services if we reasonably believe that:

  • You have violated these Terms.
  • Your use creates a security, legal, technical, or operational risk.
  • Your account or credentials are being used fraudulently or abusively.
  • We are required to do so by law or a valid legal process.

17. Changes to These Terms

We may update or modify these Terms from time to time. When material changes are made, we may update the effective date or provide additional notice where required by applicable law. Your continued use of Snapshot after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using Snapshot.

18. Privacy

Your use of Snapshot is also subject to our Privacy Policy. Please review the Privacy Policy to understand how we collect, use, process, and protect information in connection with Snapshot and its services.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws governing Mindiq Global Solutions, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the use of Snapshot shall be subject to the jurisdiction of the courts having appropriate jurisdiction under applicable law, unless otherwise required by applicable law.

20. Severability and Entire Agreement

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any additional terms applicable to specific Snapshot services, constitute the entire agreement between you and Mindiq Global Solutions regarding your use of Snapshot.

21. No Waiver

Failure by Mindiq Global Solutions to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be made explicitly and in writing.
